These Terms of Service ("Terms") govern your access to and use of the website located at https://billionbyte.io (the "Site") and any engagement you enter into with BillionByte Technologies Private Limited ("BillionByte", "we", "our", or "us") in connection with our services.

By accessing or using the Site, requesting information, or engaging our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Site or engage our services.

1. Acceptance of Terms

By accessing or using the Site, or by requesting, purchasing, or using our services, you represent and warrant that:

  • You have read, understood, and agree to be bound by these Terms.
  • You have the legal capacity to enter into a binding agreement.
  • If you are acting on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms.

The Site and our services are intended for individuals who are at least 18 years of age.

By using the Site, you represent and warrant that you meet this requirement.

If you access or use the Site on behalf of an organisation, you represent that you are authorised to act on behalf of that organisation.

3. Our Services

BillionByte Technologies Private Limited provides professional technology consulting and software development services, including but not limited to:

  • Artificial Intelligence (AI) integration and automation
  • Custom AI solutions, chatbots, and Large Language Model (LLM) integrations
  • Retrieval-Augmented Generation (RAG) systems
  • Custom web application development
  • Mobile application development
  • Backend systems and API development
  • UI/UX design
  • Cloud architecture and infrastructure
  • Software consulting and digital transformation
  • Maintenance and technical support
  • Custom enterprise software solutions

The services listed above are provided for general informational purposes only.

Specific project scope, deliverables, timelines, pricing, ownership, acceptance criteria, warranties, and support obligations are governed exclusively by a separate written agreement, proposal, quotation, or Statement of Work ("SOW") executed between BillionByte and the client.

4. Project Scope, Deliverables, and Payment

These Terms govern your general use of the Site and establish the overall legal relationship between you and BillionByte.

Project-specific matters, including but not limited to:

  • Scope of work
  • Deliverables
  • Milestones
  • Timelines
  • Pricing
  • Payment schedules
  • Revisions
  • Acceptance criteria
  • Maintenance
  • Service Level Agreements (SLAs)

shall be governed solely by the applicable signed agreement, quotation, proposal, or Statement of Work.

If any inconsistency exists between these Terms and a signed agreement, the signed agreement shall prevail.

Payments for services are not processed through the public website. All invoices and payment arrangements are handled separately through mutually agreed business processes.

5. Intellectual Property

5.1 BillionByte Intellectual Property

BillionByte retains all rights, title, and interest in its pre-existing intellectual property, including but not limited to:

  • Software frameworks
  • Libraries
  • Components
  • Templates
  • Internal development tools
  • Methodologies
  • Documentation
  • Know-how
  • Proprietary technologies

Nothing contained in these Terms transfers ownership of BillionByte's intellectual property.

5.2 Client Deliverables

Ownership of software, source code, documentation, designs, and other deliverables created specifically for a client shall be governed by the applicable signed agreement.

Unless otherwise expressly agreed in writing, BillionByte retains ownership of all intellectual property rights in any work product until full payment has been received and ownership has been transferred under the applicable agreement.

5.3 Website Content

Unless otherwise indicated, all content available on this Site — including text, graphics, logos, icons, software, source code, designs, documentation, and other materials — is owned by or licensed to BillionByte and protected by applicable intellectual property laws.

No content from this Site may be copied, reproduced, modified, distributed, or republished without prior written permission.

6. Confidentiality

During the course of a business relationship, each party may receive confidential or proprietary information from the other.

Each party agrees to:

  • Keep confidential information secure.
  • Use confidential information only for the purposes of the engagement.
  • Not disclose confidential information to any third party except where required by law or with prior written consent.

Unless otherwise agreed in writing, these confidentiality obligations shall survive for five (5) years following the termination or completion of the applicable engagement.

Where a separate Non-Disclosure Agreement (NDA) exists, the NDA shall govern confidentiality obligations.

7. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose.
  • Attempt to gain unauthorized access to the Site or its systems.
  • Introduce malware, viruses, or malicious code.
  • Interfere with the security or operation of the Site.
  • Copy, scrape, or harvest website content using automated means without permission.
  • Misrepresent your identity or affiliation.

We reserve the right to suspend or block access for any misuse of the Site.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILLIONBYTE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • SECURITY
  • AVAILABILITY

We do not guarantee that the Site will operate without interruption, errors, or security vulnerabilities.

Your use of the Site is entirely at your own risk.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • BillionByte's total aggregate liability arising from or relating to these Terms or your use of the Site shall not exceed the total amount paid by you to BillionByte during the three (3) months immediately preceding the event giving rise to the claim.
  • If you have not paid any amount to BillionByte, our total liability shall not exceed INR 5,000.

Under no circumstances shall BillionByte be liable for:

  • Loss of profits
  • Loss of business
  • Loss of revenue
  • Loss of goodwill
  • Loss of data
  • Business interruption
  • Indirect damages
  • Consequential damages
  • Incidental damages
  • Special damages
  • Punitive damages

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless BillionByte, its directors, officers, employees, consultants, affiliates, and contractors from any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms.
  • Your misuse of the Site.
  • Content or materials supplied by you.
  • Your infringement of any third-party rights.
  • Your violation of applicable laws.

11. Third-Party Websites

The Site may contain links to third-party websites or services.

These links are provided solely for convenience.

BillionByte does not control, endorse, or assume responsibility for any third-party websites, their content, availability, products, services, or privacy practices.

Your use of third-party websites is entirely at your own risk.

12. Termination

You may stop using the Site at any time.

BillionByte reserves the right to suspend or terminate your access to the Site without prior notice if:

  • You violate these Terms.
  • You engage in unlawful activities.
  • Your use poses a security risk.
  • We discontinue operating the Site.

Termination of Site access does not affect obligations arising under any separately executed agreement.

13. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including but not limited to:

  • Fires
  • Earthquakes
  • Epidemics or pandemics
  • Government actions
  • War
  • Terrorism
  • Internet failures
  • Power outages

The affected party shall make reasonable efforts to resume performance as soon as practicable.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

The courts located in Gurugram (Gurgaon), Haryana, India, shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the use of the Site.

Before initiating legal proceedings, both parties agree to make reasonable efforts to resolve disputes through good-faith discussions.

15. Changes to These Terms

We may revise these Terms from time to time.

Updated versions will be published on this page together with the revised Last Updated date.

Continued use of the Site after revised Terms become effective constitutes acceptance of those revised Terms.

16. General Provisions

Entire Agreement

For general Site use, these Terms constitute the entire agreement between you and BillionByte.

For project engagements, the applicable signed agreement, proposal, quotation, or Statement of Work shall prevail where inconsistent with these Terms.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

BillionByte may assign these Terms in connection with a merger, acquisition, restructuring, or sale of its business or assets.

No Partnership

Nothing contained in these Terms creates any partnership, joint venture, employment, agency, or fiduciary relationship between you and BillionByte.
